Supplier Code of Conduct

Introduction

This Supplier Code of Conduct establishes the standards and principles that all suppliers, their employees, agents, and subcontractors (collectively referred to as "Suppliers") must adhere to when conducting business with our company. This Code ensures alignment with South African legislation and international best practices for ethical business conduct.

Legal and Regulatory Compliance

Anti-Corruption

Suppliers must comply with the Prevention and Combating of Corrupt Activities Act 12 of 2004 (PRECCA) and all applicable anti-corruption laws. Suppliers shall not:

  • Offer, give, or accept bribes or kickbacks
  • Make facilitation payments
  • Engage in any form of corruption with public or private sector entities
  • Participate in money laundering activities

Competition Law

Suppliers must comply with the Competition Act 89 of 1998 and shall not:

  • Engage in price fixing
  • Participate in bid rigging
  • Divide markets
  • Exchange competitively sensitive information with competitors
  • Abuse a dominant market position

Trade Compliance

Suppliers must adhere to:

  • International Trade Administration Act 71 of 2002
  • Customs and Excise Act 91 of 1964
  • All applicable import/export regulations and trade sanctions

Business Practices and Ethics

Conflicts of Interest

  • Suppliers must disclose any potential conflicts of interest
  • Avoid situations where personal interests conflict with business responsibilities
  • Comply with the Companies Act 71 of 2008 regarding disclosure requirements

Financial Integrity

  • Maintain accurate and complete financial records
  • Comply with International Financial Reporting Standards (IFRS)
  • Adhere to the Public Finance Management Act where applicable
  • Implement proper internal controls

Labour Practices

Employment Equity and Anti-Discrimination

Suppliers must comply with:

  • Employment Equity Act 55 of 1998
  • Promotion of Equality and Prevention of Unfair Discrimination Act 4 of 2000
  • Provide equal employment opportunities
  • Implement affirmative action measures as required by law

Labour Relations

Suppliers must adhere to:

  • Labour Relations Act 66 of 1995
  • Basic Conditions of Employment Act 75 of 1997
  • Respect workers' rights to:
    • Fair labor practices
    • Freedom of association
    • Collective bargaining
    • Protected strike action

Occupational Health and Safety

Comply with:

  • Occupational Health and Safety Act 85 of 1993
  • Mine Health and Safety Act 29 of 1996 (where applicable)
  • Maintain safe and healthy working conditions
  • Provide necessary safety training and equipment

Compensation and Benefits

  • Comply with minimum wage regulations

Consequences of Non-Compliance

We reserve the right to:

  • Terminate supplier relationships for serious violations
  • Require immediate corrective actions
  • Report violations to relevant authorities
  • Seek legal remedies as appropriate
